1. Agreement to Terms

By accessing or using NullScene's website, platform, and content protection services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services. These Terms constitute a legally binding agreement between you and NullScene.

2. Description of Services

NullScene provides AI-powered content protection services, including but not limited to: automated content scanning and detection, DMCA takedown notice filing, content monitoring across multiple platforms, and reporting and analytics. The specific features available to you depend on your subscription plan. See our pricing page for plan details.

3. Account Registration

To use our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

4. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. You must be the copyright owner of the content you upload or have authorization from the copyright owner to act on their behalf.

5. Content Ownership and Licensing

You retain full ownership of all content you upload to our platform. By uploading content, you grant us a limited, non-exclusive license to process, analyze, and create digital fingerprints of your content solely for the purpose of providing our content protection services. We will not share, distribute, sell, or publicly display your content.

6. DMCA Agent Authorization

By using our takedown services, you authorize NullScene to act as your designated DMCA agent. You represent and warrant that you are the rightful copyright owner of the content for which takedowns are filed, or that you have been authorized by the copyright owner to act on their behalf. Filing a false DMCA claim may result in legal liability under Section 512(f) of the DMCA.

7. Prohibited Uses

You agree not to:

• - Use our Services to file fraudulent or abusive DMCA takedown notices
• - Upload content that you do not own or have rights to
• - Attempt to reverse-engineer, decompile, or disassemble our software
• - Use automated systems to access our platform beyond approved API integrations
• - Violate any applicable laws or regulations through use of our Services
• - Interfere with or disrupt the integrity or performance of our Services
• - Impersonate any person or entity or misrepresent your affiliation

8. Subscription and Payment

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). You authorize us to charge your payment method on each billing date. Subscriptions automatically renew unless cancelled before the end of the current billing period. Refunds are handled on a case-by-case basis; contact our support team for refund requests.

9. Free Trial

We offer a 14-day free trial for new users. During the trial, you have access to the features included in your selected plan. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will not be charged during the trial period.

10. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform scheduled maintenance, and unforeseen outages may occur. We are not liable for any losses resulting from service interruptions. Our takedown success rate (98.7%) is a historical average and not a guarantee for individual cases.

11. Limitation of Liability

To the maximum extent permitted by law, NullScene shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you for the Services in the twelve months preceding the claim. Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless NullScene and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party, including the filing of fraudulent DMCA notices.

13. Termination

We may terminate or suspend your account at any time for violation of these Terms or for any other reason at our sole discretion. You may cancel your subscription at any time through your account settings. Upon termination, your content fingerprints will be deleted within 30 days, and pending takedowns will be completed.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
